Please read these Terms of Service (or Terms) carefully as they contain important information about your legal rights, remedies and obligations. By accessing or using Xceed's Services, you agree to comply with and be bound by these Terms, as applicable to you.

1. IDENTIFICATION

Xceed S.r.l, is a company registered in Italy, VAT No. #03373311202, with registered office in Via Felice Casati 1/A, Milano (MI), 20124, Italy; hereinafter "our entity", "we", "us", "our" "Xceed", and with e-mail "info@xceed.me".

2. DEFINITIONS

"Events" means shows, concerts, performances or other entertainment activities organised, produced and carried out by independent third parties (Organisers), for which Tickets are made available for sale through the Platform. "Platform" means Xceed's digital infrastructure, accessible via the website, mobile application and embedded widgets or other integration tools, which allows Users to browse Events, purchase Tickets and receive related information. The Platform operates exclusively as a technical and intermediary tool between Users and Organisers. "Tickets" means admission titles to Events, sold through the Platform in the name and on behalf of the Organiser. Tickets constitute a personal and revocable licence, remain the property of the Organiser, and grant only the right of admission to the Event under the conditions set by the Organiser and the venue. "Organiser" means any third-party legal or natural person that organises, produces and is responsible for an Event, and that appoints Xceed to sell Tickets through the Platform in its name and on its behalf. The Organiser is the sole party responsible for the planning, execution, content, safety, legality and performance of the Event, as well as for any obligations towards Users arising from the Event. "User" means any natural person who accesses or uses the Platform, including for the purpose of purchasing Tickets. "Venue" means the physical location where the event takes place, intended to host the public and suitable for the performance of the show or activity.

3. REGULATION AND ACCEPTANCE

• These Terms govern access to and use of the Xceed website and mobile application, as well as the conditions applicable to the purchase of Tickets through the Platform. • By accessing or using the Platform and/or purchasing Tickets, the User represents that they have the legal capacity to enter into a binding contract and confirms that they have read, understood and accepted these Terms, in the version published by Xceed at the time of access or use. • Xceed provides a digital Platform for the online sale and distribution of Tickets to Events organised by third-party Organisers. • Xceed acts exclusively as an intermediary and technical service provider on behalf of the Organisers. Xceed does not organise, produce, manage, control or carry out the Events, nor does it assume any obligation relating to their execution, content, quality, safety or performance. Tickets are sold by Xceed in the name and on behalf of the Organiser, who remains the sole entity responsible for the Event. • Xceed does not act as a promoter, producer or organiser of the Events. Xceed does not assume any obligation of result, nor any obligation other than those expressly set out in these Terms. • The ticket sales service is provided for a fee. All information relating to ticket prices, including any applicable charges, is made available to the User on the Platform prior to purchase. • Access to informational content made available through the Platform is provided free of charge.

4. OBJECTIVES

• Our aim is to make the purchasing experience simple, quick and fair, allowing easy access to live events. These Terms and Conditions govern the modalities of access to and purchase through the Platform https://xceed.me in a clear and understandable manner. • This document is always available in English and Spanish at https://xceed.me/tos for consultation, archiving or printing. • In accordance with the applicable regulations on information society services and electronic commerce, the following information is provided.

5. GENERAL

• For all matters relating to the processing of personal data, Users are invited to consult Xceed's Privacy Policy. • We sell Tickets and associated products and/or services on behalf of Organisers. • Tickets are offered for sale by Xceed at the times and to the extent made available by the Organisers. The quantity of Tickets available for sale varies from Event to Event. Tickets are generally sold through multiple distribution channels, including online channels, call centres and, in some cases, venue box offices. • All distribution channels access the same ticketing system and inventory. As a result, Tickets for popular Events may sell out quickly. From time to time, additional Tickets may be released prior to the Event. Xceed has no control over such inventory or availability. • To purchase Tickets through the Platform, the User must have the legal capacity required to enter into a binding contract under these Terms. Access to Events and any applicable minimum age requirement are determined and communicated by the Organiser for each Event, and the User is required to verify and comply with them. Payment may be made exclusively through the payment methods made available on the Platform. The User represents and warrants that they are authorised to use the selected payment method. • The User is solely responsible for the accuracy, completeness and truthfulness of the information provided to Xceed during the booking process. • These Terms do not apply to purchases made through the websites or platforms of Organisers or third parties. Any questions or complaints arising from purchases made through such channels must be addressed directly to the relevant Organiser or third party.

6. CONTRACT

• All purchases made through the Platform are subject to payment card verification and other security checks. A transaction may be cancelled if it does not successfully pass such verification processes. • The User agrees not to obtain, or attempt to obtain, Tickets through the unauthorised use of robots, bots, automated devices or through any illegal or unauthorised activity or means. • Xceed reserves the right to void any transaction that it reasonably suspects to have been carried out in breach of these Terms, without prior notice to the User. Any Tickets purchased through such transactions shall be deemed void. • The Organiser reserves the right to void any transaction it deems appropriate. Such cancellation shall not be the responsibility of Xceed, which in this case guarantees a full refund of the amount paid. • Xceed reserves the right to cancel and refund in full any bookings that it reasonably suspects to be fraudulent, made for the purpose of resale, or otherwise contrary to a fair use of the Platform. • Xceed acts exclusively as a technical and intermediary service provider, facilitating the transaction between Users and Organisers and managing the technical aspects of Ticket sales through the Platform.

7. PURCHASE METHODS

• To facilitate the purchase of Tickets, the Platform offers the following purchase options: online through the website; via mobile device through the App; through any widget made available by Xceed and integrated into third-party websites or applications. • Purchasing Tickets through the website, the App, or the widget allows Users to access Events more efficiently, view their purchase history, and download Tickets to their mobile device, where applicable.

8. PAYMENT METHODS

• The following payment cards are accepted for purchases made through the Platform: Visa, Mastercard, American Express, JCB, UnionPay, Carte Bancaires, Diners and Discover, whether credit or debit cards. Depending on availability and technical conditions, additional payment methods such as Click To Pay, Apple Pay, Google Pay, MB Way, Bizum, PayPal, Klarna, Scalapay and Bancontact may also be accepted. • The ticket sales system operates through secure servers and uses industry-standard encryption technologies. • Payments are processed through Adyen Global Acquiring.

9. PURCHASE CONFIRMATION

• Registered Users may verify that a purchase has been successfully completed by accessing the "Bookings" section of the Platform. • Upon successful completion of a purchase, the User will receive a confirmation email containing the relevant details of the transaction. • The confirmation email may be filtered as spam by certain email service providers. Users are therefore advised to check their spam or junk mail folders.

10. PRICES AND CHARGES

Purchases made through the Platform may be subject to handling charges per Ticket and non-refundable delivery charges per order. Any applicable charges are clearly disclosed to the User before confirming the payment.

11. INDUSTRIAL PROPERTY RIGHTS AND INTELLECTUAL PROPERTY

• Users or Organisers may not copy, reproduce, publish, download, upload, broadcast, transmit, make available to the public, or use the content of this website in any way without the express consent of Xceed. • You agree not to adapt, modify or create a derivative work from any content on this website except for your personal, non-commercial use. • Any other use of the content of this site requires the prior written permission of Xceed. • The names, images and logos identifying Xceed shall be subject to copyright, design and trademark rights. • Xceed is the owner of all the industrial and intellectual property rights of the Website, either individually or as an assignee, as well as the elements contained therein (including but not limited to images, sound, audio, video, software or text; trademarks or logos, colour combinations, structure and design, selection of materials used, computer programs necessary for its operation, access and use, etc.), and none of the exploitation rights over them beyond what is strictly necessary for the correct use of this website may be understood to have been granted to the User or Organiser. • Any claims that may be lodged by Users or Organisers in relation to possible breaches of industrial or intellectual property rights over any of the contents of this website should be sent to the e-mail address specified in the contact details.

12. RESPONSIBILITIES

• Xceed provides ticketing, distribution, and intermediary services on behalf of the Organisers. • Xceed does not participate in the organisation, management or execution of the Events and does not assume any responsibility relating to the Event itself. • The Organiser is solely responsible for the Event, including its content, performance, safety, compliance with applicable laws, and any obligations towards Users arising from the Event. • The User is responsible for providing accurate and complete information during the purchase process. • The User is responsible for providing their details correctly in the purchasing processes established on the Xceed website, paying special attention to the introduction of bank and personal details.

13. TICKETS

• Any Ticket purchased by the User remains the property of the Organiser and constitutes a revocable personal licence, which may be withdrawn and admission refused at any time. • It is the User's responsibility to check the Tickets purchased; errors cannot always be rectified, although Xceed will inform the User of the technical means made available to identify and correct input errors before the booking procedure is completed. • The User is exclusively entitled to a seat corresponding in value and category to that indicated on the relevant Ticket. • Responsibility for the visibility conditions at the Venue where the Event takes place, as well as for acoustic quality, comfort of the Venue, accessibility and similar conditions, lies solely with the Organiser.

14. PROHIBITIONS

• When purchasing Tickets through the Platform, the number of Tickets that may be purchased in a single transaction may be limited for each Event. The applicable limit is indicated during the purchase process and automatically applied at checkout. This measure is intended to discourage unfair purchasing practices and ensure fair access to Tickets. We reserve the right, at our reasonable discretion, to cancel orders that exceed the permitted number of Tickets per transaction or that appear to circumvent such limits or involve abusive purchasing practices. • Tickets may be subject to specific conditions, limitations or entitlements determined by the Organiser, including but not limited to access time restrictions, access to specific areas or sections of a Venue, age requirements, or the inclusion of certain benefits (such as drinks or other services) subject to time or usage limitations. Where applicable, such conditions and limitations will be indicated during the purchase process or otherwise communicated prior to or at the time of booking. It is the User's responsibility to carefully review all information relating to the Ticket before completing the purchase. • All such conditions, limitations and entitlements are determined solely by the Organiser, who bears full responsibility for their implementation and enforcement. • The User may not resell or assign the Tickets where prohibited by law. • The User may not combine a Ticket with any benefits, travel or accommodation services and/or any other promotional items, products or services to create a package, unless the User has obtained the prior written and binding authorisation of Xceed and the Organiser. • An entry may not be used for advertising, promotions, contests or sweepstakes unless the prior written consent of the Organiser has been obtained. In such case, any use of Xceed's trademarks and other intellectual property shall be subject to Xceed's prior written consent.

15. CANCELLATIONS, SUSPENSIONS AND SUBSTANTIAL MODIFICATIONS

15.1 Information on cancellations and changes In the event of a cancellation, change of date, suspension or substantial modification of an Event, Xceed will use reasonable efforts to make relevant information available to Users, subject to and based on the information provided by the Organiser. Any communication regarding such changes may be made by Xceed and/or the Organiser, as applicable. Xceed shall not be responsible for delays or omissions attributable to the Organiser. 15.2 Request for a refund and Responsibility of the Organiser • If the User has purchased a Ticket for an event relating to leisure activities scheduled for a specific date or period, the User shall not be entitled to withdraw from or cancel such purchase, in accordance with applicable law. The inability of a User to attend an Event or any error made during the purchase process does not constitute grounds for a refund. • Once purchased, Tickets may not be exchanged or refunded, except in the cases expressly provided for by applicable law. • Bookings paid using 18app or Carta Cultura are non-refundable, as required by applicable regulations. For further information, Users are invited to consult the terms of service available on the relevant payment method's official website. • Advertised start times and event programmes may be subject to change. Tickets are sold without prejudice to the Organiser's right to modify or vary the programme due to events or circumstances beyond its reasonable control. Such changes do not entitle the User to a refund, unless they qualify as a refund cause under applicable law or under the Organiser's policies. • Events may occasionally be cancelled, suspended, rescheduled or substantially modified by the Organiser, the artist or the production team for a variety of reasons. In such cases, Users are invited to review the Organiser's policies and to contact the Organiser directly. The Organiser is the sole party responsible for the organisation of the Event and, where applicable, for the management and issuance of refunds. • Xceed provides the Platform as a technical and communication tool between Users and the Organiser. • Xceed offers Users the possibility to submit a refund request through the Platform. However, any refund may be processed solely upon the explicit instruction of the Organiser, with Xceed acting exclusively as a technical intermediary and service provider, and without assuming any responsibility with respect to the refund decision.

16. ADMISSION AND ATTENDANCE

• The Venue reserves the right to refuse admission to Users in the event of non-compliance with the terms and conditions applicable to the Event, the Organiser and/or the Venue, or for security, safety or public order reasons. In such cases, Users shall not be entitled to any refund. • The Venue may, from time to time, be required to carry out security-related checks or enquiries in order to ensure the safety of Users. • Tickets are issued in accordance with the rules and regulations of the Venue and the Organiser of the Event. • Full details of such rules and regulations shall be available at the Venue box office and/or made available by the Organiser. • Any violation of the applicable rules and regulations, or any behaviour that may cause damage, injury, disturbance or grievance, shall entitle the Venue or the Organiser to refuse admission to, or expel, the User from the Venue. • In any event, Xceed recommends and expressly refers Users to the rules and regulations established, from time to time and for each specific Event, by the relevant Organiser. • The Organiser and/or the Venue may impose specific rules and restrictions regarding access and conduct at the Event, including, without limitation, restrictions on recording equipment, laser devices, animals (other than guide dogs), or the introduction of food and beverages. Xceed does not control or enforce such rules and shall not be liable for any measures taken by the Organiser or the Venue in this respect. • By attending the Event, the User expressly consents to the recording of images and sounds as part of the audience. • Users acknowledge that prolonged exposure to high noise levels may cause hearing damage. • Events may include special effects, including, without limitation, sound, audio-visual, pyrotechnic and/or lighting effects.

17. QUERIES AND COMPLAINTS

• If you have any questions or complaints regarding your purchase, please contact us at support@xceed.me, quoting your order number, which is provided at the end of the order process, in your booking confirmation email, and on your Ticket. • As Tickets and other goods are sold through the Platform on behalf of the Organisers, we may need to contact the relevant Organiser in order to obtain additional information before responding to your complaint. Some complaints may require up to 28 days to be handled; in any case, we will keep you informed and respond as soon as reasonably possible. • In the event of a dispute, we will use reasonable efforts to consult and negotiate in good faith, with the aim of reaching a fair and equitable settlement for you, for us and for the Organiser. • In any event, you may also refer the dispute to the European Union Online Dispute Resolution (ODR) platform for the resolution of consumer complaints, available at the following link: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=ES

18. MISCELLANEOUS

• These General Terms and Conditions, together with any special terms and conditions that may apply from time to time, govern the contractual relationship between Xceed and third parties contracting through the website https://xceed.me. • These General Terms and Conditions are governed by applicable European Union law. Any dispute arising out of or in connection with transactions carried out through the Platform shall fall under the jurisdiction of the competent courts, as determined in accordance with the applicable legal provisions. • These General Terms and Conditions have been drafted in compliance with European Union and Italian legislation governing information society services and electronic commerce, general contractual terms, consumer and User protection, as well as any other applicable laws and regulations. • Should any provision of these General Terms and Conditions be held to be wholly or partially null, invalid or unenforceable, such nullity or unenforceability shall affect only that provision or the relevant part thereof. All remaining provisions shall remain valid and effective, and the affected provision shall be deemed severed to the extent necessary.
